1. INTRODUCTION
1.1 Agreement Overview. Welcome to WizSonic, a multi-service digital platform operated by WizSonic LLC (“WizSonic,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the WizSonic mobile application, website, and associated services (collectively, the “Platform”), including all features that enable users to request or provide services such as ride-sharing, delivery, towing, repair, and other on-demand offerings, as well as merchant storefronts, online purchases, and third-party services.
1.2 Binding Agreement. By registering for, accessing, or using the Platform, you agree to be legally bound by these Terms. These Terms constitute a binding contract between you and WizSonic. If you do not agree with any provision of these Terms, you must immediately discontinue all access and use of the Platform.
1.3 Applicability. These Terms apply to all categories of participants: “Users,” who request or purchase services or goods via the Platform; “Drivers” or “Providers,” who offer transportation, delivery, or service-based work via the Platform; and “Merchants,” who sell goods or provide business services through the Platform. Each category is bound by both general terms and their respective specific obligations outlined herein.
1.4 Amendments to Terms. WizSonic reserves the right to modify or update these Terms at any time, without prior notice, to reflect changes in law, policy, or Platform functionality. Continued use of the Platform after such amendments constitutes acceptance of the revised Terms.
2. DEFINITIONS
For purposes of these Terms, the following definitions apply:
- “Account” means a registered user profile created to access or use the WizSonic Platform.
- “Driver” or “Provider” means an independent contractor who provides transportation, delivery, or other on-demand services using the Platform.
- “Merchant” means a business or entity that offers products or services through the Platform for purchase by Users.
- “User” means any individual or entity who requests, orders, or purchases a service or product through the Platform.
- “WizVerify” refers to WizSonic’s mandatory verification process for Drivers, Providers, and Merchants, which confirms identity, credentials, and license validity on an annual basis.
- “WizSonic Guarantee” refers to the Platform’s limited buyer protection program that provides coverage up to $250 for eligible transactions where a User does not receive the promised service or product.
- “Service Fees” means any fees, commissions, or charges applicable to the use of the Platform, including payments to Drivers, Providers, and Merchants.
- “Platform Content” means all materials, text, data, graphics, logos, and other intellectual property associated with WizSonic.
- “Independent Contractor” means any Driver, Provider, or Merchant who uses the Platform to offer services or goods, but is not employed by WizSonic.
3. ACCOUNT REGISTRATION AND ELIGIBILITY
- 3.1 Eligibility Requirements. To register an account and use the Platform, you must be at least 18 years of age (or the age of legal majority in your jurisdiction), have the legal capacity to enter into binding agreements, provide accurate, truthful, and complete registration information, and maintain compliance with applicable laws.
- 3.2 Verification and Accuracy. You agree to provide valid identification, contact information, and, when applicable, business or licensing documentation for verification. WizSonic may suspend or terminate your account if any information is inaccurate, falsified, or incomplete.
- 3.3 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials. All activities conducted under your account will be deemed authorized by you.
- 3.4 Multiple Roles. An individual or business may operate as both a User and a Merchant or Provider, subject to compliance with all applicable sections of these Terms.
4. GENERAL PLATFORM USE
- 4.1 License to Use. WizSonic grants you a limited, non-exclusive, revocable, non-transferable license to use the Platform solely for its intended purposes in accordance with these Terms.
- 4.2 Prohibited Uses. You agree not to use the Platform for unlawful purposes, misrepresent your identity, attempt to gain unauthorized access, engage in fraudulent transactions, reverse-engineer the Platform, or use automation/bots to interfere with operations.
- 4.3 WizSonic’s Rights. WizSonic may deny or suspend access for violations, modify or discontinue any portion of the Platform, and investigate complaints or violations, cooperating with law enforcement when required.
5. DRIVER AND PROVIDER TERMS
5.1 Independent Contractor Status. All Drivers and Providers operate as independent contractors, not employees, agents, or representatives of WizSonic. Nothing herein creates an employment, joint venture, or agency relationship.
5.2 Eligibility and Application. Applicants must complete registration and WizVerify; hold required licenses; provide proof of insurance/registration; be at least 21; and maintain a bank account for payouts and tax reporting.
5.3 WizVerify Annual Certification. Annual verification (including background checks and license review) is required to remain active. Failure to renew or pass results in suspension or termination.
5.4 Vehicle and Equipment Requirements. Vehicles and tools must be safe, clean, and compliant with law and WizSonic standards.
5.5 Legal Compliance. Drivers/Providers must comply with federal, state, and local laws (including FMCSA/DOT when applicable), local licensing, and IRS tax rules.
5.6 Customer Service Standards. Maintain WizSonic’s 100% Customer Satisfaction: prompt arrival, professional conduct, completion of accepted requests, and non-discrimination.
5.7 Prohibited Conduct. No accepting tasks you cannot complete; no off-platform cash collection; no unsafe/illegal conduct; no tampering with location/tracking data.
5.8 Taxes and Licenses. Contractors file and pay their own taxes and keep licenses active. WizSonic does not withhold taxes.
5.9 Deactivation and Suspension. Grounds include failed WizVerify, excessive complaints, law/regulation violations, fraud, or expired documentation/insurance.
6. MERCHANT TERMS
6.1 Role. Merchants are independent businesses responsible for fulfillment, inventory, and legal compliance.
6.2 Registration and Onboarding. Provide accurate business info; proof of ownership/registration; required licenses and tax documents via WizVerify; agree to commissions and payment policies.
6.3 WizVerify for Merchants. Annual review validating business legitimacy, license status, tax compliance, and authenticity. Failure to renew suspends listings and payouts.
6.4 Product/Service Standards. Accurate descriptions; compliance with consumer laws; no counterfeit/illegal/unsafe items; meet WizSonic quality standards.
6.5 Pricing/Refunds/Cancellations. Merchants set prices and manage refunds/cancellations under Buyer Protection and Refund Policy.
6.6 Taxes and Reporting. Merchants collect/remit sales tax and report income. WizSonic may issue summaries but does not file Merchant taxes.
6.7 Delivery and Fulfillment. Ensure timely delivery/completion; comply with logistics schedules; non-fulfillment may trigger Buyer Protection claims.
6.8 Termination/Suspension. Grounds include repeated cancellations/delays, poor reviews, fraud, or failed WizVerify/licensing.
7. WIZVERIFY PROGRAM
7.1 Purpose. Verification enhances safety and trust via documentation, identity checks, and compliance monitoring.
7.2 Requirements. Provide government ID; business/professional licenses; proof of insurance/registration (if applicable); and tax documentation (EIN/SSN verification).
7.3 Renewal and Compliance. Renew annually. Expired licenses/insurance result in automatic suspension until rectified.
7.4 Confidentiality. Data is handled per the Privacy Policy and disclosed to authorities only as required by law.
8. COMPLIANCE WITH FEDERAL, STATE, AND LOCAL LAWS
8.1 General Compliance. All parties comply with FTC, DOL, IRS, and local laws (zoning, transportation, permits).
8.2 No Circumvention. The Platform may not be used to evade legal obligations or taxes.
8.3 Reporting Obligations. Notify WizSonic of legal or licensing actions affecting your status.
8.4 Governmental Cooperation. WizSonic may cooperate with authorities in investigations, subpoenas, or regulatory orders.
9. PAYMENTS, FEES, AND COMMISSIONS
9.1 Platform Payments. All payments occur via WizSonic’s secure gateway. Off-platform transactions are prohibited.
9.2 User Payments. Users authorize charges for orders/services including fees, taxes, and optional tips.
9.3 Driver/Provider Payouts. Earnings are per completed transaction after commissions/fees; payouts per schedule; may be withheld during disputes.
9.4 Merchant Payouts. Paid after commissions/fees for completed orders; may be held for fraud/unresolved complaints.
9.5 Service Fees. Platform fees/commissions disclosed at transaction time; non-refundable after completion.
9.6 Refunds and Buyer Protection. Up to $250 per eligible transaction; claims within 7 days.
9.7 Taxes. Each party determines and pays its own taxes; WizSonic does not provide tax advice.
10. DISPUTE RESOLUTION AND ARBITRATION
10.1 Good Faith Resolution. Contact office@wizsonic.com office@wizsonic.com dispute details and proposed resolution.
10.2 Binding Arbitration. Disputes are resolved by binding arbitration under AAA rules in Baltimore, Maryland (unless agreed otherwise).
10.3 Class Action Waiver. Disputes must be brought individually; class/collective actions are waived to the extent permitted by law.
10.4 Arbitrator’s Authority. The arbitrator decides scope/enforceability and may award available relief subject to these Terms.
10.5 Costs. Each party bears its own legal costs unless the arbitrator orders otherwise.
10.6 Opt-Out. Opt out within 30 days by written notice to WizSonic Legal Department,
11. TERMINATION AND SUSPENSION OF ACCOUNTS
11.1 By User. You may deactivate at any time; settle outstanding transactions/balances.
11.2 By WizSonic. Immediate termination/suspension for violations, fraud, non-compliance with WizVerify/licensing, or safety/integrity risks.
11.3 Effect. Access ends; obligations accrued prior to termination survive.
11.4 Reinstatement. Possible at WizSonic’s discretion after review.
12. DATA PRIVACY AND SECURITY
12.1 Collection and Use. Use constitutes consent as described in the Privacy Policy.
12.2 Confidentiality and Encryption. Industry-standard safeguards and encryption.
12.3 Third-Party Sharing. Limited sharing with processors and verification partners; no sale to unauthorized parties.
12.4 User Responsibility. Maintain account confidentiality; WizSonic not liable for negligence-caused access.
12.5 Retention. Retained as required by law or for operations, disputes, and compliance.
13. INTELLECTUAL PROPERTY RIGHTS
13.1 Ownership. Platform content, trademarks, logos, and software are owned/licensed by WizSonic.
13.2 User Content License. You grant a worldwide, royalty-free, perpetual license for operational/promotional use.
13.3 Feedback. Suggestions become WizSonic property without obligation.
13.4 Infringement Claims. Send claims to legal@wizsonic.com legal@wizsonic.com proof and identification of material.
14. PROHIBITED CONDUCT
14.1 Misuse. No fraudulent info, fee circumvention, referral abuse, harassment/hate/discrimination, or security compromise.
14.2 Criminal Activity. Theft, assault, fraud, or unlawful possession leads to deactivation and possible law-enforcement referral.
15. LIABILITY LIMITATION AND INDEMNIFICATION
15.1 Disclaimer. Platform is provided “as is” and “as available.”
15.2 Limitation. No liability for indirect, incidental, special, or consequential damages, including lost profits/data.
15.3 Indemnification. You will indemnify and hold harmless WizSonic and affiliates from claims arising from your use or breach.
15.4 Force Majeure. No liability for failures caused by events beyond reasonable control.
16. BUYER PROTECTION POLICY
16.1 Coverage Scope. Limited protection up to $250 per eligible transaction for incomplete, fraudulent, or unsatisfactory services.
16.2 Eligibility. Paid through Platform; claim within 7 days; not due to preference or negligence.
16.3 Exclusions. No off-platform transactions, pre-existing disputes, claimant fraud, or force majeure.
16.4 Resolution. Claims investigated by the Resolution Team; documentation may be required.
17. WIZSONIC GUARANTEE PROGRAM
17.1 Service Guarantee. All active Drivers/Providers/Merchants are verified via WizVerify.
17.2 Refund/Compensation. Credit or partial reimbursement may be issued at WizSonic’s discretion.
17.3 Exclusion of Warranties. No guarantee of uninterrupted or error-free operation.
18. PLATFORM MODIFICATIONS
18.1 Right to Modify. WizSonic may modify, update, or discontinue features, pricing, or services without notice.
18.2 Notification. Significant updates may be sent via in-app notice or email; continued use is acceptance.
18.3 Maintenance. Scheduled/emergency maintenance may limit access; no liability for resulting inconvenience.
19. GOVERNING LAW AND JURISDICTION
19.1 Governing Law. Maryland law governs.
19.2 Jurisdiction. Non-arbitrable actions must be filed in Baltimore, Maryland courts.
19.3 Severability. Invalid provisions do not affect the remainder.
20. FINAL PROVISIONS
20.1 Entire Agreement. These Terms are the entire agreement.
20.2 Assignment. You may not assign without WizSonic’s consent.
20.3 Waiver. Failure to enforce is not a waiver.
